These Terms of Service (hereinafter referred to as the “Terms” or “Terms of Use” or “Terms & Conditions”) shall govern the relationship between our company and you. This website and App are owned and operated by:

You are here simply referred to as “you” or “your” or “user” or “users” or “customers”. These Terms shall govern your use of https://flygoog.com/, and/or its related mobile application, “FlyGoog”, as available on Google Play Store and Apple App Store (hereinafter referred to as the “website” or “Site” or “App” or “Platform”).

FlyGoog provides a subscription service that delivers farm-fresh eggs directly to your doorstep. Through our website and mobile app, you can choose from various subscription plans, customize your orders, and schedule deliveries. We ensure that you receive fresh eggs promptly by using insulated packaging. (hereinafter referred to as the “Service”).

Please read these Terms carefully, as these, along with our Cancellation & Refund Policy, and Privacy Policy statement forms the entire agreement between you and FlyGoog. Your access to and use of the Services are conditioned on your acceptance of and compliance with these Terms. If you do not accept these Terms in its entirety, then you may not use the website, App, or avail any of our services.

1. Acceptance of the Terms of Service

By downloading or installing our App, or by accessing or using the App or our website, or by registering an account on our platform, or by engaging with our Services, or by clicking on a button or taking similar action to signify your affirmative acceptance of these Terms, you hereby represent that:

2. Account Creation

a) Account Creation: To access certain features of FlyGoog, you may be required to create an account. By creating an account, you agree to provide accurate, current, and complete information as prompted by our registration processes. Maintaining the confidentiality of your account information, including your password, and for all activities that occur under your account, is your responsibility. You agree to immediately notify FlyGoog of any unauthorized use of your account or any other breach of security.

b) Registration Using Third-Party Accounts: When creating an account, you may have the option to register using your Google, Facebook, or Apple account. By using a third-party account for registration, you authorize us to access and use certain information from your social media account as per the privacy settings you have set in that account.

3. Allowed Uses of the Platform and Services

a) Personal Use: You are granted a limited, non-exclusive, and non-transferable license to use the App for personal, non-commercial purposes. This license allows you to access and use the features and content provided by the App.

b) Browse and Select Subscription Plans: Choose from various plans that specify the number and frequency of egg deliveries. You can also customize your plan based on your preferences.

c) Modify or Cancel Orders: You have the flexibility to modify the details of your order on the App or cancel it anytime (by refusing to accept the delivery). Changes can be made up to the point of delivery without any penalties.

d) Communicate with Delivery Agents: Use the App to make adjustments to your delivery or to communicate preferences directly to your delivery agent.

e) Manage Account and Payments: Update your account details, manage payment methods, and view your transaction history.

f) Directions of Use: You must follow any and all guidelines or policies or directions of use as associated with each of the services on the platform.

g) Personal Information: Whenever prompted, you must provide us with the correct, accurate, and updated information. These will be handled in accordance with the Privacy Policy statement posted on our website and App.

h) Material: For the purposes of these Terms, “material” shall mean any text, video, graphics, content, software, platform, sound material, published on the website or App, whether a copyright of FlyGoog, its licensors or any third party. (Unless stated otherwise) You are not allowed to download or print the material, or extracts from it, in a systematic or regular manner or otherwise so as to create a database in electronic or paper form comprising all or part of the material appearing on the website/App. Unless stated otherwise, you must not reproduce any part of the website/App or the material or transmit it to or store it in any other website/App or disseminate any part of the material in any other form, unless we have indicated that you may do so. However, you are allowed to use the content so generated by you using our platform in such form and manner as allowed in these Terms.

4. Prohibited Uses

a) The App and its features are intended for personal, non-commercial use only. Any attempt to use the App or its content for commercial purposes without explicit permission from the Company is prohibited.

b) Creating multiple accounts or engaging in any activity aimed at abusing promotional offers provided by FlyGoog is forbidden.

c) Engaging in behavior that harasses, abuses, stalks, threatens, defames, or otherwise infringes or violates the rights of any other party, including other users and FlyGoog staff / delivery agents.

d) Using the App in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the App, or that could damage, disable, overburden, or impair the functioning of the App in any manner, is forbidden.

e) Posting or sharing personal information of others without their explicit consent is not allowed.

f) You cannot reverse engineer or try to reverse engineer any of the proprietary/ intellectual property aspects of, including but not limited to the services, software, our platforms, networks, systems, etc., wholly or in part.

g) You must not misuse or interfere with the Services or website/App or try to access them using a method other than the interface and the instructions that we provide. You may use the Services only as permitted by law and as per the directions provided by us.

h) You must not use our website/App in any way that causes, or may cause, damage to the website/App or impairment of the availability or accessibility of the website/App; or in any way which is unlawful, illegal, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.

i) You cannot access, use, or tamper with the non-public areas of any of our software, platforms, networks, or our systems.

j) You must not use our website/App to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, trojan horse, worm, keystroke logger, rootkit, or other malicious computer software.

k) You must not conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction and data harvesting) on or in relation to our website/App, without our express written consent.

5. Service Delivery

a) Delivery Schedule: FlyGoog is committed to ensuring timely and reliable delivery of your eggs as per the subscription plan you choose. Delivery schedules are based on the preferences you set in your account, which include the number of eggs and the frequency of delivery. You can opt for standard delivery or express delivery. The express delivery is available at an additional charge.

b) Packaging and Transportation: All eggs are securely packaged in insulated containers to maintain freshness during transit. Our delivery personnel, referred to as Dropmen, are trained to handle your orders with care to prevent damage.

c) Order Modification and Cancellation: You have the flexibility to modify or cancel your order anytime before the scheduled delivery. Modifications can include changes in the quantity of eggs or the delivery frequency. If you need to cancel an order, you may do so by refusing to accept the eggs at the time of delivery with no penalty.

d) Delivery Verification: Upon delivery, our agents are required to take a photo of the delivered items to confirm the accuracy and integrity of the order.

e) Failed Deliveries: If you are not available to receive your order, our agents will attempt delivery according to the guidelines specified in your subscription plan. If multiple delivery attempts fail, FlyGoog may pause or cancel your subscription after notifying you, allowing you to reactivate or adjust your subscription as needed.

f) Responsibilities of the User: As a subscriber, you are responsible for providing accurate delivery information and ensuring that there is a safe and accessible place for deliveries. If specific conditions or instructions are required for delivery, these should be communicated through the FlyGoog app ahead of the scheduled delivery.

g) Problem Resolution: In the event of any issues with your delivery, such as missing or damaged items, customers can contact us for a replacement. For other issues, please email us at contact@flygoog.com.

6. Intellectual Property

a) Ownership of Content and Services: All content, features, and functionality of the FlyGoog platform, including text, graphics, logos, images, as well as the design, selection, and arrangement thereof, are exclusively owned by FlyGoog, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secrets, and other intellectual property or proprietary rights laws.

b) Use of FlyGoog Content: You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the FlyGoog platform strictly in accordance with these Terms and Conditions.

c) Restrictions: Copying, reproducing, redistributing, selling, creating derivative works from, decompiling, reverse engineering, or disassembling the platform or any part thereof is strictly prohibited unless expressly permitted by FlyGoog in writing.

d) Trademark: The FlyGoog name, the FlyGoog logo, and all related names, logos, product and service names, designs, and slogans are trademarks of FlyGoog or its affiliates or licensors. You must not use such marks without the prior written permission of FlyGoog.

e) User Feedback: Any feedback you provide to the Company will be considered non-confidential and non-proprietary. By providing any feedback, you grant FlyGoog and its affiliates a perpetual, worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

f) Protection of Intellectual Property: If you believe that your intellectual property rights are being infringed on the App/ website, please report it to us at contact@flygoog.com.

In order to see what personal and non-personal information we collect and how we use or store or share the same, please refer to the detailed Privacy Policy statement available on our website and App.

8. Payment and Billing

a) Payment Methods: FlyGoog accepts various forms of payment to accommodate our users' needs. You can make payments using UPI, credit/debit cards, or through the FlyGoog wallet. Ensure that all payment information you provide is accurate and up to date.

b) Billing Cycle: Billing occurs at the end of each month. You will only be charged for the eggs you have received during the month. An itemized bill will be provided via the app or emailed to you, detailing the number of deliveries and the total amount due.

c) Payment Processing: We use secure payment processing services to manage and safeguard your payment information. Please note that your payment data is handled by our payment processors and is subject to their terms and security conditions. FlyGoog does not store your credit card details or other sensitive financial information on our servers.

d) Late Payments: If payment is not received by the due date, we may suspend your access to our services until all outstanding payments have been processed. FlyGoog will provide notifications to remind you of any overdue payments.

e) Updates to Payment Information: You are responsible for maintaining accurate payment information in your account. If your payment method expires or is no longer valid for other reasons, please update your payment details promptly to avoid interruption in your service.

f) Refunds and Credits: Refunds are generally not provided since billing occurs after the delivery of services and only for the eggs received. However, if there is an issue with your order, such as damaged or missing eggs, please contact customer service within a period of 24 hours from the time of delivery to receive replacement. Please refer to our Cancellation & Refund Policy for more information.

g) Disputes: If you believe you have been billed incorrectly, please notify our customer service team immediately at contact@flygoog.com to resolve the issue. We aim to handle all billing disputes swiftly and fairly.

9. Links to Third-Party Platforms

The website/App might contain links to third-party website/Apps or services. For example, the website/App works with third party payment service providers to provide you the most convenient payment options. Such third-party links are not under the control of FlyGoog, and FlyGoog is not responsible for any third-party links. FlyGoog provides access to these third-party links only as a convenience to you, and does not review, approve, monitor, endorse, warrant, or make any representations with respect to third-party links. You shall use all third-party links at your own risk, and should apply a suitable level of caution and discretion in doing so. Whenever you click on such links, you may be taken to such a third-party website/App, and you get out of the jurisdiction of our website/App. Therefore, you shall be governed by the legal policies of such third-party website/Apps and we suggest that you read those policies. In case of any damage due to such action of third-party links or inaccuracy of content or wrong information, FlyGoog shall not be responsible.

10. Disclaimer

By using FlyGoog, users acknowledge and agree to this Disclaimers:

a) General Information: FlyGoog provides an online platform and related services for the delivery of farm-fresh eggs directly to customers. While we strive to maintain high standards of service, we make no representations or warranties of any kind, express or implied, as to the operation of our platform, the information, content, materials, or products included on it.

b) Delivery: FlyGoog aims to deliver your eggs as per the scheduled times indicated in your subscription plan. However, actual delivery times may vary due to factors beyond our control, including but not limited to traffic conditions, weather, and logistical delays. FlyGoog does not guarantee that deliveries will always occur at the exact scheduled times and is not liable for any inconvenience or cost arising from delayed deliveries. FlyGoog is not responsible for failed deliveries due to inaccessible delivery locations or incorrect delivery addresses provided by the customer. It is the customer's responsibility to ensure that delivery agents have proper access to make deliveries and to provide accurate and complete address details. FlyGoog does not recommend leaving delivered eggs unattended. We are not responsible for loss, theft, or damage of eggs left unattended following delivery at your specified location.

c) Condition of Eggs Upon Delivery: We take great care to ensure that your eggs arrive in perfect condition. However, FlyGoog cannot be held liable for conditions affecting the quality of the eggs occurring due to the negligence of the customer, such as breakage or spoilage due to improper handling by the customer after delivery. Moreover, as eggs are temperature-sensitive products, ensure they are stored appropriately upon receipt. FlyGoog will not be liable for the degradation of eggs due to improper storage after delivery.

d) Service Availability: FlyGoog does not guarantee that the service will be uninterrupted or error free, and there may be instances where the service is disrupted due to technical issues or updates. We will endeavor to minimize disruptions and will communicate any significant changes to our service availability.

e) Health and Safety: Our products are sourced with care to ensure high quality; however, FlyGoog is not liable for any health issues caused by the consumption of our products. It is the responsibility of the user to ensure that they are not allergic or sensitive to eggs.

11. Limitation of Liability

To the fullest extent permitted by law, FlyGoog ("Company"), its owners, directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, health issues, allergic reactions, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the FlyGoog App or services; (ii) any conduct or content of any third party on the FlyGoog App; (iii) any product obtained from the FlyGoog App; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not the Company has been informed of the possibility of such damage.

12. Legal Action

If you are found to be degrading, tarnishing, maligning the image, goodwill, or reputation of FlyGoog by spreading hate, insulting, false, fake reviews or engaging in mala fide actions against the above, strong legal actions will be taken immediately.

13. Indemnification

You acknowledge to defend, indemnify, and hold FlyGoog, its affiliates, subsidiaries, directors, officers, employees, agents, partners, and any other licensors (hereinafter referred to as “Indemnified Party”) harmless from and against any claim, disputes, fine, liability, demand, or expense, including reasonable legal counsel’s fee, made by a third party, relating to, or arising from:

a) Your violation of ours or any third-party right;
b) Your wrongful or improper use of our services or platform;
c) Your violation of any applicable laws, rules, or regulations;
d) Your violation of these Terms or any other policy of ours as associated with our services;
e) The indemnifications set forth above will survive the termination or expiration of these Terms and/or your use of our services.

14. Governing Law and Dispute Resolution

i. Governing Law: The Terms and any dispute arising from the same will be governed by applicable laws of the Republic of India, except for its conflict of law provisions.
ii. Exclusive Jurisdiction: All disputes must first be attempted to be resolved amicably, failing which, such controversy, conflict or dispute shall be finally settled by bringing it exclusively before the appropriate courts or tribunals located in Nalgonda, Telangana, or the High Court for the State of Telangana.
iii. Statutory Rights: This Section shall in no way override the rights available to you under the applicable laws of your jurisdiction, such as consumer laws.

15. Notices

When you use the website/App or send emails to FlyGoog, you are communicating with us electronically. You consent to receive physically or electronically any communications related to your use of this website/App. FlyGoog will communicate with you by email or by posting notices on this website/App. You agree that all agreements, notices, disclosures, and other communications that are provided to you electronically satisfy any legal requirement that such communications be in writing. We may give notice by means of a general notice via electronic mail to your email address as available with us. If you want to give a notice to us, you can do so by dropping an electronic mail to contact@flygoog.com.

16. Miscellaneous

i. Headings: The section headings are for convenience only and shall not control or affect the meaning or construction of any provision of these Terms.
ii. Breach: In case of any breach or threatened breach to the provisions of these Terms, we reserve the right to suspend your access to our platform or our Services, at our sole discretion.
iii. Severability: If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions of these Terms will continue in full force and effect.
iv. Waiver: Our failure to insist on or enforce strict performance of these Terms of Service shall not be construed as a waiver by us of any provision or any right that we have to enforce these Terms and nor shall any course of conduct between Company and you or any other party be deemed to modify any provision of these Terms.
v. Survival: Notwithstanding any other provisions of these Terms of Service, or any general legal principles to the contrary, any provision of these Terms of Service that imposes or contemplates continuing obligations on either party shall survive the expiration or termination of these Terms of Service, for any reason whatsoever.
vi. No Third-Party Beneficiaries: Except as otherwise expressly provided in these Terms of Service, there shall be no third-party beneficiaries to these Terms of Service.
vii. No Assignment: Users may not assign these Terms of Service (or any rights, benefits, or obligations hereunder) by operation of law or otherwise without the prior written consent of FlyGoog, which may be withheld at FlyGoog’s sole discretion. Any attempted assignment that does not comply with these Terms of Service shall be null and void.
viii. Entire Agreement: The Terms, Cancellation & Refund Policy, and Privacy Policy, and any additional terms and conditions incorporated herein or referred to herein constitute the entire agreement between FlyGoog and you, relating to the subject matter hereof, and supersedes any prior understanding or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except in writing or by making such amendments or modifications available on our website/App.
ix. Force Majeure: FlyGoog and its third-party service providers will be excused from performance for any period during which, and to the extent that, such party or any subcontractor is prevented from performing any obligation or service, in whole or in part, as a result of causes beyond its reasonable control, and without its fault or negligence, including without limitation, acts of God, communication line failures, technical issues, bugs, errors, power failures and/or similar inabilities.
x. Updates to these Terms: Please note, these Terms may be updated from time to time to reflect changes to our practices, market realities, or for other operational, legal, or regulatory reasons. Changes are effective immediately upon posting to our website or within the App. Your continued use of our Services following the posting of revised Terms means that you accept and agree to the changes. We encourage you to frequently review the Terms to ensure you understand the terms and conditions that apply to your use of our Services.

Welcome to FlyGoog Agent App

These Terms & Conditions (hereinafter referred to as the “Terms” or “Terms of Use” or “Terms of Service” or “T&C”) shall govern the relationship between our company and you. This App is owned and operated by:

(here simply referred to as “Company” or “FlyGoog” or “us” or “our” or “we”)
These Terms shall govern your use of the mobile application, “FlyGoog Agent”, as available on Google Play Store and Apple App Store (hereinafter referred to as the “App” or “Platform”). By registering as either a delivery agent or a sales agent, you agree to comply with and be bound by these Terms & Conditions.
FlyGoog Agent App is a platform provided by FLYGOOG to facilitate the delivery of eggs (hereinafter referred to as the “Service”).
Please read these Terms carefully, as these, along with our Privacy Policy statement, form the entire agreement between the delivery agent and FlyGoog. For sales agents, please note that in addition to these T&C, you will be required to sign a Sales Agent Agreement ("SAA") which will supplement these terms. In the event of any inconsistency between these T&C and the SAA, the terms of the SAA will prevail to the extent of such inconsistency. 1. Acceptance of the Terms & Conditions

By accessing and using the FlyGoog Agent App, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These T&C apply to all users of the App, including delivery agents and sales agents.
If you do not agree to these T&C, you must not access or use the App. Your continued use of the App signifies your acceptance of these T&C and any future changes that may be made.
For sales agents, you will also be required to sign a Sales Agent Agreement. In the event of any inconsistency between these T&C and the SAA, the terms of the SAA will prevail to the extent of such inconsistency.
FLYGOOG reserves the right to update, modify, or replace any part of these T&C at any time. Any changes will be effective immediately upon posting on the App. It is your responsibility to review these T&C periodically for any updates or changes. Your continued use of the App following the posting of any changes constitutes acceptance of those changes.

2. Definitions

For the purposes of these Terms and Conditions, the following terms shall have the meanings set forth below:
a) Agent: Refers to both delivery agents and sales agents who use the FlyGoog Agent App.
b) App: The FlyGoog Agent App, a mobile application provided by FLYGOOG to manage tasks for delivery and sales agents.
c) Compensation: The payment or salary provided to delivery agents and sales agents for their services.
d) Customer: Any individual who receives the delivery of eggs or interacts with the sales agents promoting the FlyGoog app.
e) Delivery Agent: An individual responsible for delivering eggs to customers as assigned through the FlyGoog Agent App.
f) Dropman: The individual who delivers eggs from the farm to the delivery agents.
g) FLYGOOG: The company providing the FlyGoog Agent App, located at 1-45, Jalalpur (M), Bhoodhan Pochampally, Pochampalle, Nalgonda, Telangana - 508284.
h) Performance and Feedback: The evaluation of an agent's work, including customer reviews and ratings.
i) Privacy Policy: The document posted on the App, outlining how FLYGOOG collects, uses, and protects the personal information of agents.
j) Sales Agent: An individual responsible for promoting the FlyGoog app to potential customers.
k) Sales Agent Agreement (SAA): A supplemental agreement signed by sales agents that outlines specific terms and conditions related to their role.
l) Terms and Conditions (T&C): The rules and guidelines governing the use of the FlyGoog Agent App by delivery agents and sales agents.

3. Eligibility and Application

a) Eligibility: To be eligible to use the FlyGoog Agent App as a delivery agent or sales agent, you must meet the following criteria:
i. Delivery Agents:
• Must reside in the same residential community where deliveries will be made.
• Must own a smartphone compatible with the FlyGoog Agent App.
• Must be at least 18 years old.
• Must have no past criminal convictions.
• Must provide valid identification and documentation, including an Aadhar card, PAN card, bank account details, and address proof for residency verification.
ii. Sales Agents:
• Must be capable of visiting assigned houses and promoting the FlyGoog app.
• Must be at least 18 years old.
• Must have no past criminal convictions.
• Must provide valid identification and documentation as required during the hiring process.

b) Application Process:
i. Delivery Agents: The application process is conducted offline. Prospective delivery agents must meet with a FlyGoog hiring manager to provide the necessary documents and complete the application process. Selection is at the discretion of the hiring manager. The hiring manager will collect all required details and upload them from the backend. Delivery agents will only need to log in to the app once their account is created.
ii. Sales Agents: The application process is conducted offline. Prospective sales agents must go through an interview and selection process. Selection is at the discretion of the hiring manager. Upon selection, sales agents will be required to sign a Sales Agent Agreement (SAA) in addition to accepting these T&C.
By completing the application process and being approved as an agent, you agree to comply with these T&C and any additional agreements specific to your role.

4. Account Creation

a) The account creation process for the agents is managed by the FlyGoog hiring manager.
b) Prospective agents must provide the necessary documentation, as required, during the offline application process.
c) Once selected, the hiring manager will upload the collected information to the system, and an account will be created for the agent from the backend.
d) Once the account is created, the agents will be provided with login credentials.
e) The agents can log in to the FlyGoog Agent App using the provided credentials to access their account and begin their duties.
f) Agents are responsible for maintaining the confidentiality of their login credentials.
g) Agents must notify FlyGoog immediately if they suspect any unauthorized use of their account.

5. Responsibilities of Delivery Agents

As a delivery agent for FlyGoog, you are entrusted with ensuring the timely and efficient delivery of eggs to our customers. Your responsibilities include, but are not limited to, the following:
a) Delivery: Ensure that all deliveries are made on time and within the specified delivery windows. Deliver the eggs to the correct address as provided in the FlyGoog Agent App.
b) Order Modification: Modify customer orders as per their requests and ensure accurate delivery of the modified orders.
c) Real-Time Photo Proof: Take a real-time photo of each delivery as proof of completion and upload it to the FlyGoog Agent App.
d) Egg Quality: Verify that the eggs received from the dropman are well-packed and undamaged before accepting them. Report any damaged eggs to FlyGoog immediately and ensure that only undamaged eggs are delivered to customers.
e) Handling Customer Interactions: Provide excellent customer service and handle any customer inquiries or issues politely and professionally.
f) Care of Goods: You are responsible for the eggs from the time you receive them from the dropman until they are delivered to the customer. In case of damaged eggs during your custody, the cost will be deducted from your earnings.
g) Performance and Feedback: Your performance will be evaluated based on timely deliveries, customer feedback, and overall service quality. Poor performance or negative feedback may result in corrective actions, including termination after multiple chances for improvement.
h) Completion of Orders: Ensure that all assigned orders are completed without any failures. In case of failure to deliver, FlyGoog may take necessary actions, including termination after providing opportunities for improvement.

6. Performance and Feedback

As a delivery or sales agent for FlyGoog, your performance is critical to maintaining the high standards we strive to achieve. Your responsibilities regarding performance and feedback include, but are not limited to, the following:
a) Performance Evaluation: Your performance will be regularly evaluated based on the timely completion of deliveries, customer satisfaction, and overall adherence to your assigned duties.
b) Customer Feedback: Actively seek and consider customer feedback to improve your service quality. Respond to customer inquiries and issues promptly and professionally.
c) Delivery Timeliness: Ensure that all deliveries are made within the specified delivery windows. Consistently meeting delivery deadlines is a key performance indicator.
d) Order Accuracy: Accurately fulfill and modify orders as requested by customers. Any errors in order delivery should be minimized and immediately rectified.
e) Professional Conduct: Maintain a courteous and professional demeanor at all times. Your interactions with customers and colleagues should reflect positively on FlyGoog.
f) Reporting Issues: Promptly report any issues or challenges encountered during deliveries or interactions with customers. Timely communication helps address problems effectively.
g) Quality of Deliveries: Ensure that the eggs delivered are in good condition. Any damage or quality issues must be reported immediately, and appropriate actions should be taken to resolve them.
h) Improvement Opportunities: FlyGoog provides opportunities for agents to improve their performance. If you receive poor feedback or fail to meet performance standards, you will be given chances to improve before any corrective action is taken.
i) Termination Due to Performance: Persistent poor performance, negative feedback, or failure to meet FlyGoog’s standards after multiple opportunities for improvement may result in termination.
j) Feedback Mechanism: Utilize the feedback mechanism provided in the FlyGoog Agent App to share your insights and suggestions for improving our services and operations.

7. Compensation and Payment for Delivery Agents

As a delivery agent for FlyGoog, you will be compensated for your services based on the following terms:
a) Compensation Structure: The details regarding the payment per delivery, performance bonuses, and any other compensation components will be communicated to you once finalized.
b) Monthly Payment: Your earnings will be paid monthly. The payment will be credited directly to your bank account in the first week of each month.
c) Bonuses: You may earn bonuses based on your performance, including the timely delivery of orders, positive customer feedback, and acquiring genuine customers from the same community. The criteria and eligibility for bonuses will be determined by FlyGoog and communicated to you.
d) Deductions: Any damage to the eggs while in your custody will result in deductions from your earnings. The amount deducted will correspond to the value of the damaged eggs.
e) No Expense Reimbursement: FlyGoog does not provide reimbursement for any expenses incurred by delivery agents, such as petrol or other transportation costs. However, performance-based bonuses may be provided at the discretion of FlyGoog.
f) Earnings Statement: Your earnings and any deductions will be detailed in the FlyGoog Agent App. You can review your earnings statement at any time through the app.
g) Bank Account Details: Ensure that your bank account details are accurate and up-to-date in the FlyGoog Agent App to avoid any delays in payment. Notify FlyGoog immediately of any changes to your bank account information.
h) Discrepancies and Issues: If you notice any discrepancies or issues with your payment, report them to FlyGoog immediately for resolution. Prompt reporting helps ensure timely corrections.

8. Allowed Uses of the App

a) Purpose of Use: The App is provided to assist you in managing your delivery and sales tasks. Use the App solely for the purposes of carrying out your assigned duties and responsibilities related to FlyGoog.
b) Account Access: Use only the account credentials provided to you. Do not share your login information with others or allow unauthorized individuals to access your account.
c) Order Management: Utilize the App to receive, manage, and update delivery orders. Ensure that all order information is accurately recorded and updated in real-time.
d) Customer Interaction: Use the App to communicate with customers as needed for order confirmations, modifications, and delivery status updates. Maintain professionalism in all communications facilitated through the App.
e) Performance Tracking: Use the App to monitor your performance metrics, including delivery times, customer feedback, and earnings. Regularly review your performance data to ensure accuracy and identify areas for improvement.
f) Location Tracking: Allow the App to access your device’s location services as required to verify delivery locations and track your route. Location tracking is essential for ensuring timely and accurate deliveries.
g) Reporting Issues: Report any technical issues, app malfunctions, or inaccuracies in order information through the App’s support features. Prompt reporting helps ensure that any problems are quickly addressed.
h) Data Security: Safeguard the personal information and data accessed through the App. Do not misuse, disclose, or share any confidential information obtained through the App.
i) Compliance with Policies: Follow all FlyGoog policies and guidelines related to the use of the App. Adhere to any updates or changes in policies as communicated by FlyGoog.
j) App Updates: Keep the App updated to the latest version as provided by FlyGoog. Regular updates may include important security enhancements, new features, and bug fixes.

9. Prohibited Uses

a) Unauthorized Access: Do not share your login credentials with others or allow unauthorized individuals to access your account. Unauthorized access to the App is strictly forbidden.
b) Fraudulent Activities: Do not engage in any fraudulent activities, such as falsifying delivery records, misrepresenting FlyGoog, or manipulating order information.
c) Data Misuse: Do not misuse, disclose, or share any personal information or data obtained through the App. This includes customer information, order details, and any confidential data.
d) Tampering with App Functionality: Do not attempt to alter, modify, or tamper with the App’s functionality or security features. Any actions that compromise the integrity or security of the App are prohibited.
e) Unlawful Activities: Do not use the App for any illegal purposes, including but not limited to violating local, state, or national laws and regulations.
f) Disruptive Behavior: Do not use the App in any manner that disrupts or interferes with the normal operation of the App or the services provided by FlyGoog.
g) Inappropriate Content: Do not upload, share, or distribute any inappropriate, offensive, or harmful content through the App. This includes any content that is discriminatory, harassing, or violates the rights of others.
h) Location Spoofing: Do not use any methods or tools to spoof or falsify your location while using the App. Accurate location tracking is essential for the proper functioning of the delivery and sales processes.
i) Multiple Accounts: Do not create or use multiple accounts to manipulate the App’s functionality, including performance metrics, earnings, or order handling.
j) Intellectual Property Infringement: Do not use the App to infringe upon FlyGoog’s intellectual property rights or the intellectual property rights of others. This includes unauthorized use of copyrighted materials, trademarks, or proprietary information.
k) Hacking and Security Breaches: Do not engage in hacking, distributing malware, or any activities that could lead to security breaches or damage to the App’s infrastructure.
l) Personal Use: Do not use the App for personal activities unrelated to your duties as a delivery or sales agent for FlyGoog. The App is intended solely for business purposes related to FlyGoog operations.

10. Code of Conduct

a) Professional Behavior: Conduct yourself in a professional and respectful manner at all times. This includes being courteous and polite in all interactions with customers, colleagues, and others you encounter in the course of your duties.
b) Honesty and Integrity: Perform your duties with honesty and integrity. Do not engage in any fraudulent or dishonest activities, such as falsifying delivery records or misrepresenting FlyGoog.
c) Punctuality: Be punctual in reporting for your shifts and in making deliveries. Consistently meeting your scheduled delivery windows is essential to maintaining customer satisfaction.
d) Dress Code: Maintain a neat and tidy appearance. Adhere to any dress code or uniform requirements specified by FlyGoog.
e) Compliance with Instructions: Follow all instructions and guidelines provided by FlyGoog. This includes adhering to delivery procedures, safety protocols, and company policies.
f) Customer Service: Provide excellent customer service. Address customer inquiries and concerns promptly and professionally. Strive to create a positive experience for all customers.
g) Respect for Property: Treat all property, including the eggs and any equipment provided by FlyGoog, with care and respect. Avoid any actions that could damage or misuse company property.
h) Communication: Maintain clear and open communication with FlyGoog management. Report any issues, challenges, or incidents promptly. Keep FlyGoog informed of your availability and any changes to your schedule.
i) Confidentiality: Respect the confidentiality of FlyGoog’s business information and customer data. Do not disclose any confidential information to unauthorized persons.
j) Compliance with Laws: Adhere to all applicable laws and regulations while performing your duties. This includes traffic laws, labor laws, and any other relevant legal requirements.
k) Substance Abuse: Refrain from using or being under the influence of alcohol or illegal substances while performing your duties. Maintain a clear and focused mind to ensure safety and efficiency in your work.

11. Intellectual Property

a) Ownership: All content, features, and functionality of the App, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are the property of FLYGOOG or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
b) License to Use: FLYGOOG grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the App solely for the purposes of performing your duties as a delivery or sales agent for FlyGoog. This license does not permit you to resell or make any commercial use of the App or its contents without FLYGOOG’s prior written consent.
c) Restrictions: You are prohibited from:
  i. Modifying, copying, distributing, transmitting, displaying, performing, reproducing, publishing, licensing, creating derivative works from, transferring, or selling any information, software, products, or services obtained from the App.
  ii. Using any data mining, robots, or similar data gathering and extraction tools on the App.
  iii. Attempting to decompile or reverse engineer any software contained on the App.
d) Trademarks: The FlyGoog name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of FLYGOOG or its affiliates or licensors. You must not use such marks without the prior written permission of FLYGOOG.
e) Feedback and Suggestions: Any feedback, comments, suggestions, or ideas you provide to FLYGOOG regarding the App or its services will be the exclusive property of FLYGOOG. You agree that any such feedback may be used by FLYGOOG without any obligation to compensate you.

12. Privacy

In order to see what personal and non-personal information we collect and how we use or store or share the same, please refer to the detailed Privacy Policy statement available on our App.

13. Termination

a) Termination by FlyGoog: FlyGoog reserves the right to terminate your access to the FlyGoog Agent App and your role as a delivery or sales agent at any time, without cause, with a 45-day notice period. However, in cases of misconduct, such as fraud, theft, or any actions that harm FlyGoog’s reputation or operations, termination will be immediate without prior notice. Grounds for immediate termination may include, but are not limited to, violation of these Terms and Conditions, poor performance, negative customer feedback, engagement in prohibited activities, misconduct, fraud, theft, or any actions that harm or threaten to harm FlyGoog’s reputation or operations.
b) Termination by Agent: You have the right to terminate your agreement with FlyGoog at any time. To terminate your role as a delivery or sales agent, you must provide a written notice of 45 (forty-five) days to FlyGoog. This notice period allows FlyGoog to make necessary arrangements for your replacement and to ensure a smooth transition of duties.
c) Post-Termination Obligations: Upon termination, you must immediately cease using the FlyGoog Agent App and return any property or materials belonging to FlyGoog. This includes any equipment, documentation, or confidential information provided to you during your tenure. You must ensure that all pending deliveries or customer interactions are completed or handed over to another agent as directed by FlyGoog.
d) Final Payment: Upon termination, you will be paid for all services rendered up to the date of termination. This final payment will be made in accordance with FlyGoog’s standard payment schedule and policies. Any deductions for damages or outstanding obligations will be applied to your final payment.
e) Confidentiality: Even after termination, you are obligated to maintain the confidentiality of all proprietary information, trade secrets, and any other sensitive information obtained during your association with FlyGoog. This confidentiality obligation remains in effect indefinitely.

14. Disclaimer

FlyGoog provides the FlyGoog Agent App on an "as is" and "as available" basis. While we strive to ensure that the App functions correctly and meets your needs, FlyGoog makes no representations or warranties of any kind, express or implied, regarding the App’s operation or the information, content, or materials included on the App. FlyGoog does not warrant that the App will be uninterrupted, error-free, or free from viruses or other harmful components. We do not guarantee that any defects or errors will be corrected or that the App will always be available.

15. Limitation of Liability

To the fullest extent permitted by law, FlyGoog, its affiliates, directors, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the FlyGoog Agent App, (ii) any unauthorized access to or use of our servers and/or any personal information stored therein, (iii) any interruption or cessation of transmission to or from the App, (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the App by any third party, (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the App, and/or (vi) the defamatory, offensive, or illegal conduct of any third party. This limitation of liability applies regardless of the legal theory under which such liability is asserted, whether based on contract, tort, negligence, strict liability, or otherwise, even if FlyGoog has been advised of the possibility of such damage.

16. Legal Action

If you are found to be degrading, tarnishing, maligning the image, goodwill, or reputation of FlyGoog by spreading hate, insulting, false, fake reviews or engaging in mala fide actions against the above, strong legal actions will be taken immediately.

17. Indemnification

You agree to indemnify, defend, and hold harmless FlyGoog, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable advocate’s fees) that arise from or relate to your use or misuse of the FlyGoog Agent App, your violation of these Terms and Conditions, your violation of any third-party rights, including but not limited to intellectual property rights, or any other harmful conduct in connection with your use of the App. FlyGoog reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will cooperate fully with FlyGoog in asserting any available defences.

18. Governing Law and Dispute Resolution

i. Governing Law: The Terms and any dispute arising from the same will be governed by applicable laws of the Republic of India, except for its conflict of law provisions.
ii. Exclusive Jurisdiction: All disputes must first be attempted to be resolved amicably, failing which, such controversy, conflict or dispute shall be finally settled by bringing it exclusively before the appropriate courts or tribunals located in Nalgonda, Telangana, or the High Court for the State of Telangana.

19. Notices

When you use the App or send emails to FlyGoog, you are communicating with us electronically. You consent to receive physically or electronically any communications related to your use of this App. FlyGoog will communicate with you by email or by posting notices on this App. You agree that all agreements, notices, disclosures, and other communications that are provided to you electronically satisfy any legal requirement that such communications be in writing. We may give notice by means of a general notice via electronic mail to your email address as available with us. If you want to give a notice to us, you can do so by dropping an electronic mail to contact@flygoog.com.

20. Miscellaneous

i. Headings: The section headings are for convenience only and shall not control or affect the meaning or construction of any provision of these Terms.
ii. Breach: In case of any breach or threatened breach to the provisions of these Terms, we reserve the right to suspend your access to our App, and terminate your engagement with us as agent, at our sole discretion.
iii. Severability: If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions of these Terms will continue in full force and effect.
iv. Waiver: Our failure to insist on or enforce strict performance of these Terms & Conditions shall not be construed as a waiver by us of any provision or any right that we have to enforce these Terms and nor shall any course of conduct between Company and you or any other party be deemed to modify any provision of these Terms.
v. Survival: Notwithstanding any other provisions of these Terms & Conditions, or any general legal principles to the contrary, any provision of these Terms & Conditions that imposes or contemplates continuing obligations on either party shall survive the expiration or termination of these Terms & Conditions, for any reason whatsoever.
vi. No Third-Party Beneficiaries: Except as otherwise expressly provided in these Terms & Conditions, there shall be no third-party beneficiaries to these Terms & Conditions.
vii. No Assignment: Users may not assign these Terms & Conditions (or any rights, benefits, or obligations hereunder) by operation of law or otherwise without the prior written consent of FlyGoog, which may be withheld at FlyGoog’s sole discretion. Any attempted assignment that does not comply with these Terms & Conditions shall be null and void.
viii. Entire Agreement: The Terms and Privacy Policy, and any additional terms and conditions incorporated herein or referred to herein constitute the entire agreement between FlyGoog and the delivery agent. For sales agents, please note that in addition to these T&C, you will be required to sign a Sales Agent Agreement ("SAA") which will supplement these terms. In the event of any inconsistency between these T&C and the SAA, the terms of the SAA will prevail to the extent of such inconsistency.
ix. Updates to these Terms: Please note, these Terms may be updated from time to time to reflect changes to our practices, or for other operational, legal, or regulatory reasons. Changes are effective immediately upon posting within the App. Your continued use of our App following the posting of revised Terms means that you accept and agree to the changes. We encourage you to frequently review the Terms to ensure you understand the terms and conditions that apply to your use of our App.
